how do you tell someone he is no longer capable of running his company and should let his son do it?

Get son involved, have a few 'major projects' to keep Dad busy and keep his fingers in the pie, so to speak. Sit down with son and spouse, 'try' to have nice quiet calm discussion about the business. Give him time to think about decision, but limit the time (1 or 2 weeks). Start talking to spouse about the cruise around the world you have always wanted. Take at least 3 months. In that time its up to son - sink or swim. If he swims, then old man should be more amenable to handing over the reins... Good luck.

You shouldn't shouldn't tell him anything. It should be a discussion that the owner and his son has. Present your case to the son, allow him to formulate his action plan. Perhaps the owner doesn't need to step down, but instead, relenquish some of the control.
